An email address and password will be needed to create and access your account and various areas of the site. Any communication with other users on the website will be shared with us for the purposes of protecting our users and ensuring a safe environment for everyone.

    3.5 Marketing and Communications Data

    Information on your preferences, your events and your extra information so that we may tailor our website, advertisement and marketing to suit the users of our site.

    This information may include the browser name, the type of computer and technical information about Users means of connection to our Site, such as the operating system and the Internet service providers utilized and other similar information.

    4.1 Direct Contact

Introduction to the Terms and Conditions (T&Cs)

Please read these Terms and Conditions carefully as they contain important information regarding your legal rights, remedies, and obligations.

These T&Cs are legally binding between all site users and Fizmaa. Failure to comply can result in termination of the account. These T&Cs will govern your use of Fizmaa.in from any device (laptop, tablet, mobile).

0.2 Client: Anyone procuring services from a supplier registered with Fizmaa.


0.3 Supplier: Any provider of services registered with Fizmaa.


0.4 Us/We/Our: Refers to Fizmaa and the website Fizmaa.com.


0.5 Instant Quote: Live pricing.


0.6 Package: A bookable service created by the supplier. Includes, but is not limited to, images, descriptions, and pricing.


0.7 Deposit: Paid by the client to secure the booking and confirmed by the supplier or venue manager.


0.8 Confirmed Booking: When the supplier accepts the booking from the client.


0.9 Fizmaa Booking Protection: Should the booking be cancelled by the supplier for any reason, the client will receive their deposit back and Protection Fee in full from Fizmaa after this has been received from the supplier directly. We cannot refund any amounts until this has been received.


0.10 Live Availability: Suppliers who sync their calendar with Fizmaa will be open to live availability for clients to see.


0.11 Cancellation: Whether by the client or supplier, this refers to when the previously agreed booking is no longer going ahead.


0.12 Offline Payment: Should the client provide Fizmaa with extenuating circumstances in which the deposit cannot be paid via the Fizmaa website, the payment can be dealt with between the supplier and the client without the input of Fizmaa. However, the supplier will be responsible for paying the commission to Fizmaa after the deposit is paid to them.


0.13 Provisional Booking: Prior to paying a deposit, the client can make a provisional booking. The client is not obliged to proceed with this booking until a deposit is paid. Please note, these bookings do not reserve the date, and availability is subject to change in the time period between making a provisional booking and paying the deposit.


0.14 Deposit Pending: Once the client has paid their deposit, this is not confirmed until the supplier or venue manager has decided to take on the booking. This means the suppliers are in full control of the bookings they take.


0.15 Protection Fee: A fee charged to clients for making a booking and using the Fizmaa service. This is paid at the time of the deposit payment and helps us protect your deposit money should anything go wrong with a supplier.

1. Acceptance of the T&Cs

  • 1.1 FizMaa reserves the right to remove or terminate any profile without refund for T&C violations.
  • 1.2 FizMaa content is owned exclusively by FizMaa Event Solutions LLP.
  • 1.3 Accepting these terms includes accepting privacy and cookies policies.

2. License to Use This Website

  • 8.2 May assist in recovery of owed money.

9. Payment

  • 9.1 Website payments are secured.

  • 9.3 Disputed charges require immediate notification.

10. Account Termination

  • 10.1 FizMaa may terminate accounts for T&C violations.
  • 10.2 No compensation for terminated accounts.

  • 10.5 Three-strike system may be used.
  • 10.6 Strikes issued for T&C violations.

Fizmaa provides a SaaS-based platform that allows Curators to:

  • Promote and market their events
  • Stay in touch with attendees
  • Increase engagement and conversions through digital tools

Through our website and mobile app, Customers can discover and purchase event tickets. Curators may also collaborate with one another on Fizmaa to co-host or cross-promote events.

How We Handle Your Data

Fizmaa may act either as a Data Controller or a Data Processor, depending on how you use our services:

When Fizmaa is a Data Controller

We act as a Data Controller when you:

  • If you sign up as a Curator or create an account to explore our services, Fizmaa is the Data Controller of the personal information you provide.
  • We are also the Data Controller of any data we collect about how Users interact with our platform and applications.

When Fizmaa is a Data Processor

  • If you register for an event as a Customer, we process your personal data on behalf of the Curator—for example, to manage ticketing, payment, confirmations, and communications related to that event.
  • If a Curator uploads your contact details into our system (for invitations or updates), Fizmaa only processes this data as instructed by the Curator.
  • In such cases, the Curator determines the purpose and content of the data collected, while Fizmaa provides the technical systems to facilitate it. We are not responsible for verifying or maintaining the accuracy of this data.

Your Rights and Choices

  • For Customer data handled by Curators: Any questions about how your information is used should first be directed to the Curator of that event.
  • Unsubscribe from communications: You can stop receiving promotional messages from Fizmaa at any time (see “Right to Object to Direct Marketing”).
  • Correcting or deleting your data: You may contact either us or the Curator if you want to:
    • Update incorrect or incomplete information (“Right to Rectification”)
    • Request removal of your data (“Right to Be Forgotten”)

In some cases, you may have provided consent for other websites, services, or third parties to share your information with us. For instance, this may happen if you interact with a Curator’s page or website operated by us, or with another service we provide. At the time such data was collected, we will have informed you that it may be shared with Fizmaa and explained the purpose for which it would be used. We may also receive information about you from third parties we work with to deliver our services, including payment processors, delivery partners, technical support providers, and advertising companies. Whenever we obtain information about you from a third party, we will notify you of the nature of the information received, as well as how and why we intend to use it.

1.2 Information About Curators

Where you are a Curator using our platform, we may collect additional information in addition to the categories set out above. For example, if you use our payment processing services, we may collect financial details such as your bank account information and billing address in order to facilitate payments for your events. We may also collect information that is legally required for tax and compliance purposes. In addition to this, we may receive information about Curators from external sources including banks, payment processing partners, and credit reference agencies. Such information will only be processed in accordance with this Privacy Policy. Where you, as a Curator, use our platform and import personal data relating to your customers into our system, Fizmaa acts solely as a service provider. We have no direct relationship with these individuals and therefore rely on you, as the Curator, to ensure that you have obtained all necessary permissions and consents before sharing such personal data with us. As stated in our Terms and Conditions, Curators bear full responsibility for ensuring lawful collection and use of customer information within our platform.

1.3 Information About Customers

If you are a Customer, Fizmaa may collect additional personal data either for our own operational purposes or on behalf of a Curator. When you register for a paid event, for example, you will provide financial information such as your credit or debit card number, expiry date, and billing address. Certain aspects of this information may constitute personal data. Please note that, in line with our practices described above, Fizmaa does not retain credit or debit card information beyond what is necessary to complete our service obligations to you. In addition, Curators may create registration pages through our platform to collect personal data directly from Customers in relation to their events. Fizmaa does not control or determine the registration process of individual Curators, nor do we decide what information a Curator requests from Customers. Any personal data collected on behalf of a Curator is made available to that Curator for the purpose of managing the relevant event, in accordance with the provisions of this Privacy Policy.

2. How We Use the Personal Information We Collect

At Fizmaa, we do not sell or trade your personal data to Curators, third parties, or any external entities for profit. We believe your data belongs to you, and we are committed to ensuring that it is managed with the highest level of care and protection. This section explains how and why we use your information, along with the legal basis that permits us to process it. We use the categories of personal information described above in order to deliver the services you request, fulfil contractual obligations, comply with legal responsibilities, and pursue legitimate business interests, provided that such interests are not overridden by your fundamental rights. Your information is used to verify your identity, create and manage your account, and give you access to our services. It is also required to process ticket purchases, determine the terms of those purchases, and administer any agreements you have with us or with other Users through our platform. In order for events to be successfully managed, certain personal data you provide—such as your name, contact details, ticketing information, and any event-related preferences—will be shared with the relevant event organiser (Curator). This is necessary so that Curators can confirm your registration, communicate event details, manage entry, and provide event-related updates or services. While Fizmaa provides the technical platform to support this, the Curator is responsible for how they use and manage the data shared with them, and their use of your information will be governed by their own practices and obligations. We may also use your personal data to contact you about events or offers that you have expressed interest in, notify you of any issues with your use of our platform, and respond to any complaints or queries you raise, including those submitted through social media. We may send you updates about important changes to our services, terms, or policies. On an operational level, personal data supports our business management functions, including accounting, auditing, and performance monitoring. We also analyse data to understand how Users interact with our platform, to improve our systems, and to enhance the overall experience. Information may also be used to ensure our systems function effectively with social media platforms, to maintain network and information security, and to prevent unauthorized access, malware, and other malicious activity. In addition, we process data to comply with statutory obligations, such as tax and health and safety requirements, and to prevent fraud, money laundering, and other unlawful activities. Please note that in this process, your event-related information, including personal details, may be shared with the relevant event organiser for the proper facilitation of services.

2.2 Making Our Business Better

We are committed to delivering the best possible products, services, and user experience. To achieve this, we may use your information to evaluate and improve our current offerings and to develop new services. This may include reviewing and enhancing our existing systems, processes, and staff performance, including training; improving the functionality and presentation of our website so that content is displayed effectively; and measuring the effectiveness of our advertising to ensure that the promotions you receive are more relevant and meaningful.

3.1 Sharing Information Within Our Company

3.2 Sharing Information With Third Parties

Curators who organise events using our platform may use our system to contact Customers of their current and past events. As a result, you may receive communications from Curators through our system, which we deliver on their behalf. If you have registered for an event via Fizmaa, your email address will be available to the relevant Curator. Curators may also upload or import contact details from external sources into our system. In such cases, they may send communications through our platform to those individuals, and Fizmaa will facilitate the delivery of these messages. Responsibility for such communications lies solely with the Curator and not with Fizmaa. Customers always retain the right to opt out of these communications. Additionally, Curators may collaborate with other Curators on Fizmaa to co-promote events. This means you may receive recommendations for similar events from partnered Curators. In exceptional circumstances, we may also disclose your personal information to third parties where we believe it is necessary to do so. These situations include compliance with laws, judicial proceedings, or regulatory requirements; ensuring the safety of our staff, property, or the public; or assisting in the prevention and detection of crime, including fraud prevention and credit risk reduction. In some cases, we may share information with third-party providers who help us deliver and support our services. These providers may include payment processors, hosting services, and technical support partners. We maintain agreements with each of these providers, ensuring they only use your data for the purposes of delivering contracted services. Furthermore, anonymised data may be used for website and app analytics.

In cases where we detect abusive or illegal activity associated with a Curator’s database, we may share portions of the database with affected internet service providers (ISPs) or recognised anti-spam organisations to address the issue.

5. Notice of Security Breach (When Fizmaa Is a Data Processor)

In the event of a security breach that results in an unauthorised intrusion into our system and materially affects the data that Fizmaa holds in its capacity as a Data Processor for a Curator, Fizmaa will notify the Curator at the earliest opportunity. A detailed report of the actions taken in response will also be provided. In accordance with GDPR and applicable domestic legislation that incorporates the Regulation into English law, Fizmaa will additionally notify the Information Commissioner’s Office (ICO) within 72 hours of becoming aware of such a breach.

6. Disclosure of Your Information

We may disclose your personal information to third parties if we are under a legal obligation to do so. This includes compliance with court orders, judicial proceedings, or regulatory requirements, as well as enforcing or applying our Terms of Use and other agreements. 1. Introduction

By using the services provided by Fizmaa, you agree to be bound by these Terms and Conditions (“Terms”). These Terms form a legally binding agreement between you (“User”) and Fizmaa. We strongly advise you to read them carefully before accessing or using our services. If you do not agree with any part of these Terms, you should not proceed with using the services.

Please note: Clause 10 of these Terms contains important information about exclusions of warranties and limitations of liability.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • “Accept” refers to your agreement to these Terms either by registering to use the Service via the registration screen or by using the Service directly.
  • “App” refers to any mobile application developed and made available by Fizmaa through which Users can access the Service.
  • “Content” refers to all information, software, images, video, graphics, music, sound, and other material appearing on the Website or made available through the Service.
  • “Customer” means any User who uses the Service to purchase tickets, register for an event, make donations, or purchase vouchers for an offer.
  • “Data Controller,” “Data Processor,” and “Data Subject” have the meanings given under applicable Data Protection Laws.
  • “Data Protection Laws” refers to the Data Protection Act 1998, the General Data Protection Regulation (EU) 2016/679 (GDPR), and any subsequent updates or related legislation.
  • “Direct Pay” refers to the direct payment method described in Clause 5.2.11.
  • “Event” means any event for which a User can register or purchase tickets, or for which a User may advertise or sell tickets through the Service.
  • “Fizmaa” refers to Bespoke Web Pvt Ltd, registered in Mumbai, India, with its office at A-Wing 603, Express Zone Wing A, Western Express Highway, Mumbai, Suburban, Maharashtra, 400063.
  • “Intellectual Property Rights” refers to all copyrights, database rights, trademarks, patents, trade names, and any other intellectual property rights worldwide.
  • “Normal Pay” refers to the standard payment method described in Clause 6.4.
  • “Offer” refers to any goods or services listed by a Promoter via the Website or App, redeemable during a specified validity period using a prepaid voucher.
  • “Partner” refers to a User who promotes and sells tickets for another Promoter’s events and may appoint representatives in return for commission.
  • “Password” has the meaning provided in Clause 5.1.7.
  • “PDPs” refers to potentially harmful programs such as worms, viruses, or trojan horses.
  • “Personal Data” has the meaning set out in applicable Data Protection Laws.
  • “Promoter” refers to a User who promotes and sells tickets for their own events or offers through the Service.
  • “Rep” refers to a User who promotes and sells tickets for another Promoter’s events but cannot appoint additional representatives, in return for commission.
  • “Reseller” refers to a User who introduces other Promoters to Fizmaa in exchange for a commission.
  • “Server” refers to the server operated by Fizmaa to host the Website.
  • “Service” refers to the ticket sales, promotions, advertisements, applications, and related services provided by Fizmaa via the Website, App, or SMS.
  • “SMS” refers to short message service communications.
  • “Ticket” means a digital or physical entry pass purchased through the Service for a specific event.
  • “User” refers to any individual, business, or organisation that has registered or uses the Service, including Customers, Promoters, Partners, Reps, and Resellers.
  • “User’s Equipment” refers to the devices, software, internet connection, and other tools the User requires to access the Service.
  • “Voucher” refers to an item purchased via the Service that can be redeemed for goods or services as described in the relevant Offer.
  • “Website” refers to www.fizmaa.com or any other URL operated by Fizmaa for providing the Service.

2.2 Interpretation

Unless the context requires otherwise, the following rules of interpretation shall apply:

  • Any reference to a statute or statutory provision shall include that statute or provision as amended, extended, re-enacted, or consolidated from time to time, as well as all statutory instruments or orders made under it.
  • Words denoting any gender shall include all genders, and references to persons shall include individuals, firms, corporations, and vice versa.
  • References to any clause or sub-clause refer to the relevant section of these Terms.
  • Headings are provided for convenience only and do not affect the construction or interpretation of these Terms.
  • Words following “including,” “include,” “in particular,” “for example,” or any similar expression shall be interpreted as illustrative and shall not limit the sense of the words or terms that precede them.

3. Commencement of Agreement

The contract between Fizmaa and the User becomes effective once the User first Accepts these Terms. The agreement shall remain in force unless and until terminated in accordance with these Terms.

4. Terms Applicable

4.1 In consideration for the services provided by Fizmaa, the User agrees to be legally bound by these Terms. 4.2 Fizmaa reserves the right to amend or modify these Terms at any time. Any such modifications shall take effect immediately upon being posted on the Website or App, or upon notification to the User. By continuing to use the Service after such modifications, the User is deemed to have accepted the revised Terms.

Limitation of Liability & Disclaimer

Fizmaa is solely a booking and facilitation platform that connects event hosts with vendors and service providers. By using our platform, you acknowledge and agree that Fizmaa does not organize, manage, supervise, or control the actual conduct of any event. All responsibilities regarding the planning, execution, quality of services, safety, punctuality, compliance with applicable laws, and overall delivery of the event rest entirely with the respective event organizer, vendor, or service provider engaged by you.

Fizmaa shall not, under any circumstances, be held responsible or liable for:

  • Any cancellation, postponement, or modification of an event.
  • Any accident, injury, damage, loss, or other incident occurring before, during, or after the event.
  • Any failure of services, misrepresentation, or negligence by vendors, performers, event organizers, or third parties.
  • Any financial disputes, including refunds, non-performance, or contractual disagreements between you and the vendor/service provider.

In the event of cancellation or disruption of an event, the accountability lies solely with the event organizer and/or vendor, who are responsible for ensuring that all arrangements are conducted smoothly. Fizmaa is not, and shall not be deemed, a producer, co-host, manager, or guarantor of any event. Our role is strictly limited to acting as a booking partner and technological intermediary to enable ticketing, vendor discovery, and booking services.

By proceeding with any booking through Fizmaa, you expressly release and discharge Fizmaa, its directors, officers, employees, and affiliates from any and all claims, demands, liabilities, damages, or costs arising out of or in connection with the event or vendor services.

5. Use of the Service

5.1 Use by the User

5.1.1 For the duration of these Terms, Fizmaa grants the User a personal, non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to use the Service for the purpose of acting as a Customer, Reseller, Partner, Promoter, and/or Rep.

5.1.2 The User is solely responsible for obtaining and maintaining their own equipment, software, internet connection, and any related services necessary to access and use the Service (“User’s Equipment”). Fizmaa bears no responsibility or liability for the adequacy, functionality, or maintenance of the User’s Equipment.

5.1.3 The User represents and warrants that they, or an appropriately qualified employee, agent, or subcontractor, are familiar with and will comply with all applicable laws, licenses, codes of practice, guidelines, directives, and regulations relevant to the use of the Service. The User must ensure at all times that their use of the Service—including the connection of their equipment to Fizmaa’s servers—is fully compliant with all applicable data protection laws and other regulatory requirements in force.

5.1.4 The Service may only be used by the User or a duly authorised officer, agent, or representative of the User. The User shall not assign, novate, resell, sublicense, charge, or otherwise transfer or deal with the Service, whether in whole or in part.

5.1.5 The User shall not (and shall not permit any third party to) copy, adapt, reverse engineer, decompile, disassemble, modify, adapt, or create error corrections to the Website, App, or Service, in whole or in part.

5.1.6 The User shall not (and shall not permit any third party to) publish, copy, store, modify, transmit, distribute, or broadcast any part of the Content, except where strictly necessary to enable the User to lawfully receive the Service under these Terms.

5.1.7 To access the Service, the User may be required to use a unique password (“Password”). The Password may only be disclosed to the User’s duly authorised officers, agents, or representatives. The User is solely responsible for the security and proper use of their Password and must take all necessary steps to ensure that it is kept confidential, used properly, and not disclosed to unauthorised persons.

5.1.8 The User shall immediately notify Fizmaa if they have reason to believe that:

  • (a) the Password is no longer confidential;
  • (b) there has been any unauthorised use of the Password or the User’s Service account; or
  • (c) there has been any other breach of security relating to the Password, Website, App, or Service.

5.1.9 Fizmaa reserves the right, at its sole discretion, to:

  • (a) refuse to accept a User’s registration;
  • (b) restrict a User’s access to all or any part of the Service; and/or
  • (c) cancel, suspend, or withdraw a User’s access to all or any part of the Service at any time.

5.1.10 Access to the Website is provided on a temporary basis. Fizmaa reserves the right to suspend, withdraw, or restrict the Service, Website, or App (in whole or in part) at its sole discretion for any reason. While Fizmaa will endeavour to provide reasonable notice where practicable, it shall have no liability to the User for any loss arising from such suspension or withdrawal.

5.1.11 Fizmaa may, at any time, vary the technical specifications of the Service, Website, and/or App. Fizmaa may suspend or restrict access for this purpose or close any part indefinitely..

5.1.12 Fizmaa is not liable to issue refunds for tickets purchased through offline promoters where payments are made directly to such promoters. Refunds shall only be issued by Fizmaa in the case of event cancellations, and only for tickets purchased directly online via the Website or App.

5.1.13 Any material, including Content, made available on the Website and/or App may be out of date at any given time. Fizmaa is under no obligation to update such material.

5.1.14 Fizmaa may close User accounts (including Customer, Reseller, Partner, Rep, and/or Promoter accounts) that remain inactive for six (6) months or more. Where such an account holds a credit balance, Fizmaa shall retain a record of the account for three (3) months after closure. During this period, the User may request reactivation or withdrawal of the credited funds. If no such request is made, the User shall be deemed to have waived their right to such funds, and Fizmaa shall be entitled to retain the amount absolutely.

5.2 Use by Promoters

5.2.1 Fizmaa provides a self-service platform enabling Promoters to market and promote Events and Offers.

5.2.2 Fizmaa does not endorse, verify, or accept responsibility for the content, accuracy, or legality of Events or Offers uploaded to the Service.

5.2.3 Fizmaa shall not be liable to Promoters for the acts or omissions of Customers, Resellers, Partners, or Reps using the Service.

5.2.4 Promoters are solely responsible for the accuracy of Event and/or Offer details, including (but not limited to): entry times, ticket pricing, voucher pricing, event descriptions, booking fee variations, and door policies. Fizmaa shall not be liable for errors in Event or Offer details, nor for any associated loss of revenue.

5.2.5 A Promoter may import their own customer database into the Server to promote Events. Where this occurs, the provisions of clause 11.4.1 shall apply.

5.2.6 Where a Promoter imports a database under clause 5.2.5 containing individuals not registered with Fizmaa, Fizmaa shall only promote that Promoter’s Events to such individuals. 5.2.7 Promoters may co-promote an Event with other Promoters. In such cases, Fizmaa shall send communications on behalf of each Promoter solely to their respective Customers or followers (e.g., Promoter A’s previous customers will receive communications from Promoter A only, and Promoter B’s customers from Promoter B only). 5.2.8 If a Promoter cancels an Event or withdraws an Offer, they are responsible for informing Fizmaa and affected Users. The Promoter must process refunds through the Service or directly communicate with Users regarding alternative arrangements. 5.2.9 Where a Promoter removes an Event from Fizmaa after tickets have been sold and grants exclusivity to another ticketing platform, the Promoter shall compensate Fizmaa for any potential loss of sales and reputational damage. The compensation amount shall be the greater of: (a) the actual or reasonably estimated loss of sales; or (b) INR 20,00,000 (Rupees Twenty Lakhs). This liability is without prejudice to any other rights or remedies available to Fizmaa under this Agreement or applicable law.

5.2 Use of the Service by Promoters (continued)

5.2.10 In cases where a Customer is denied entry by the venue, event organiser, or Promoter, the Customer will be entitled to a full refund of the ticket price. Fizmaa shall, however, deduct 10% of the total sales value as cancellation fees from any pending payouts of other events listed by the Promoter on the platform. If there are insufficient pending payouts from alternate events, Fizmaa shall issue an invoice equivalent to 10% of the total revenue of the cancelled event, which the Promoter must settle within three (3) working days. In the event of a cancellation, Fizmaa will refund ticket amounts to Customers excluding any convenience fees. 5.2.11 Fizmaa reserves the right, at its sole discretion, to remove any Event or Offer, as well as withdraw from sale any Tickets or Vouchers it deems unsuitable for the Fizmaa platform. 5.2.12 The Promoter authorises Fizmaa to act as a Ticketing Agent for its Events and Offers. Fizmaa is entitled to charge Customers a booking fee over and above the ticket or offer’s face value. This booking fee is a financial transaction charge designed to cover Fizmaa’s cost of processing transactions. 5.2.13 Promoters who sell Tickets or Vouchers through their own merchant account with Fizmaa (“Direct Pay”) are required to remit all booking fees, Partner fees, and Rep fees to Fizmaa within thirty (30) days of the issuance of an invoice. 5.2.14 Fizmaa reserves the absolute discretion to transfer a Promoter back to the “Normal Pay” method of payment. Additionally, Fizmaa may recover any outstanding fees owed by the Promoter through deductions from future Ticket sales. 5.2.15 Fizmaa reserves the right to disallow the use of the Direct Pay method to any Promoter at its sole discretion. 5.2.16 The User acknowledges and agrees that: (a) Fizmaa may receive requests to release information relating to specific Events or Offers, including the identity of the User offering such Events or Offers, from regulatory bodies such as the Advertising Standards Authority or the Information Commissioner’s Office; and (b) Fizmaa may disclose such information to the relevant regulatory bodies. 5.2.17 Fizmaa shall, along with reconciliation reports, raise invoices on the Event Organizer for: (a) charges specified in the Main Terms, including Commission; (b) reimbursements Fizmaa is entitled to under this Agreement, such as refunds to Customers or chargebacks; (c) any mutually agreed costs or payable amounts; and (d) applicable GST, TDS, and TCS. Fizmaa shall be entitled to deduct and retain such amounts (“Deductibles”) from the gross ticket sales value prior to releasing the applicable Net Revenue. All amounts due under this Agreement shall be payable in Indian Rupees and exclusive of applicable taxes, which shall be borne as required by law. 5.2.18 Each Party shall be responsible for paying applicable taxes on its own income, in accordance with applicable law. If one Party is legally required to deduct tax at source or any other levy, such Party shall provide the other Party with the requisite certificate evidencing such deduction. 5.2.19 Commission shall be charged on the gross ticket price as listed by the Promoter.

5.3 Use of the Service by Partners and Reps

5.3.1 Fizmaa provides a platform to Partners and Reps enabling them to promote Tickets for Events in return for commissions determined and paid by the Promoter. 5.3.2 Partners may appoint their own Reps to promote Tickets on their behalf, with commission rates set and paid by the Partner. 5.3.3 Fizmaa is not responsible for the commissions set by Promoters or Partners and holds no affiliation with the Events or Offers. 5.3.4 Fizmaa shall not be responsible for paying commissions to Partners or Reps. A Rep’s sole recourse for non-payment lies with the Partner or Promoter they represent, while a Partner’s recourse for non-payment lies solely with the Promoter. 5.3.5 Partners and Reps are not employees of Fizmaa or Promoters. They are solely responsible for complying with tax obligations arising from their earnings. Fizmaa acts only as a platform through which Partners and Reps can generate commissions. 5.3.6 Partners and Reps are responsible for withdrawing funds from their Fizmaa accounts and for providing accurate bank account details to facilitate payment. 5.3.7 Partners and Reps must act in good faith towards both Fizmaa and Promoters. They must refrain from any actions that may harm the reputation of either party. 5.3.8 When promoting Events, Partners and Reps must ensure that all information provided is accurate, truthful, and not misleading.

5.4 Use of the Service by Resellers

5.4.1 Fizmaa provides a platform enabling Resellers to introduce Promoters to Fizmaa in exchange for a commission. The commission is a percentage of booking fees received by Fizmaa for the Promoter’s Events, with the applicable percentage notified by Fizmaa to the Reseller from time to time. 5.4.2 A Reseller may introduce Promoters through either a unique Reseller link or via an email sent using the Service. A Promoter shall only be deemed to have been referred by a Reseller if they register using one of these specified methods. 5.4.3 Fizmaa shall ensure that all sums due to Resellers in connection with an Event are made available for withdrawal within three (3) days of the Event’s conclusion.

5.5 Use of the Service by Customers

5.5.1 Fizmaa provides a platform enabling Customers to browse, purchase, and register for Tickets or Vouchers for Events and Offers advertised by Promoters. 5.5.2 Fizmaa is not responsible for the description, quality, or execution of Events or Offers, nor is it affiliated with them. 5.5.3 Fizmaa shall not be liable for refunds to Customers. Refund matters are addressed under Clause 6 (Payments and Refunds). 5.5.4 Customers must comply with any terms and conditions set by Promoters, venues, or other relevant third parties associated with the Event or Offer. 5.5.5 Customers may browse and “follow” Promoters through the platform.

6. Payment

6.1 Tickets may be sold using either the “Normal Pay” method or the “Direct Pay” method, depending on the Promoter’s choice. 6.2 Vouchers may also be sold using either the Normal Pay or Direct Pay methods, as chosen by the Promoter. 6.3 The functioning of both payment methods is outlined in this Clause 6.

6.4 Normal Pay Ticket and Voucher Sales

6.4.1 Under the Normal Pay method, Tickets and Vouchers are sold for Events and Offers listed by Promoters, with payments processed through Fizmaa’s merchant and bank accounts. Such transactions are governed by this clause. 6.4.2 For Tickets sold under Normal Pay, Fizmaa shall make all sums due to the Promoter available for withdrawal three (3) days after the conclusion of the Event. 6.4.3 For Vouchers sold under Normal Pay, Fizmaa shall make all sums due to the Promoter available for withdrawal within fourteen (14) days of the Offer’s end date, as determined by the Promoter. 6.4.4 Customers may request refunds for Tickets prior to an Event, provided that ticket sales remain open. Refunds are subject to the Event’s refund policy, which is determined by the Promoter. Customers are responsible for reviewing refund policies before purchasing Tickets. Fizmaa shall not be liable for refund claims. 6.4.5 Where a Promoter has agreed to issue a refund under Clause 6.4.4 and notifies Fizmaa, Fizmaa shall process the refund within a reasonable period, and in any case within thirty (30) days from the date the Promoter confirms the refund.

6.5 Direct Pay Ticket and Voucher Sales

Tickets and Vouchers sold through Fizmaa’s Direct Pay method are advertised by Promoters, and transactions are processed directly through the Promoter’s merchant account. In this arrangement, Fizmaa acts solely as a platform and does not control the payment flow. The Promoter is responsible for setting its own terms and conditions, including policies on cancellations and refunds, and it is the responsibility of the Customer to review these terms before purchasing any Ticket or Voucher. If a Customer seeks a refund, Fizmaa will forward such requests to the Promoter, but the responsibility for processing and honoring refunds rests entirely with the Promoter. Fizmaa has no authority, nor any liability, to issue refunds without the Promoter’s express consent. All refund requests must be handled by the Promoter in good faith and in accordance with the refund policy that was in place at the time of purchase. Fizmaa will generally invoice the Promoter for all sums due within five working days of the end of the month in which the Event was held, and the Promoter shall be required to settle such invoices within the same timeframe.

6.6 Offline Ticket Purchases

For Offline Ticket Purchases, the Customer enters into a direct contract of sale with the Organizers, independent of Fizmaa’s marketplace. All payments must be made directly to the Organizers, and Fizmaa bears no responsibility for transactions, disputes, or refunds related to tickets issued offline. Organizers may accept payment through various methods, including cash, cards, or digital platforms, and Customers are advised to obtain proof of purchase for all transactions. Ticket prices are determined solely by the Organizers and may include additional charges that are non-negotiable. Upon successful payment, the Customer will receive a ticket issued through the Organizer’s offline ticketing system, and it is the Customer’s responsibility to ensure the accuracy of all details at the time of purchase. Tickets are valid only for the specific event stated and must be presented at the venue for entry. Damaged or tampered tickets may be deemed invalid. Refunds for offline purchases are governed entirely by the Organizer’s policies. Fizmaa does not issue refunds and is not liable in this regard. Customers should approach the Organizer or Promoter directly for any refund requests. The Organizers are solely responsible for the execution of the event and the sale of tickets, while Fizmaa expressly disclaims all liability arising from offline ticket transactions. Neither Fizmaa nor the Organizers shall be held accountable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, strikes, or government restrictions.

7. Status of Fizmaa

Fizmaa functions strictly as a ticketing agency and does not host, promote, or produce any of the Events or Offers available on its platform. Ticket and voucher prices are determined by the Promoters, and Fizmaa charges a booking fee, which is included in the overall price paid by the User. Fizmaa does not assume liability for the staging, quality, or delivery of Events or Offers, except as specifically outlined in these Terms. Users are advised that additional terms and conditions may apply to individual Events or Offers, including but not limited to age restrictions, alcohol consumption policies, or venue-specific requirements. It is the User’s responsibility to review such terms before committing to a purchase.

8. Intellectual Property

All Intellectual Property Rights associated with the Website, App, and Services, including but not limited to design, text, graphics, photographs, music, video, sound, and their arrangement, are either owned by Fizmaa or licensed for use by third parties. Users may print or download extracts of materials for personal use only but must not alter such materials in any way. Content, including graphics, audio, or video, must not be used separately from the accompanying text. Fizmaa’s ownership, as well as that of identified contributors, must always be acknowledged where applicable. Any commercial use of Content without prior authorization from Fizmaa or its licensors is strictly prohibited. In the event of unauthorized use, including printing, copying, or downloading materials in breach of these Terms, the User’s right to use the Website, App, or Service will cease immediately, and Fizmaa may require the destruction or return of any copies made.

9. User Warranties and Representations

The User represents and warrants to Fizmaa that their use of the Service shall not breach any contractual, statutory, or common law rights of any third party. This includes, but is not limited to, compliance with intellectual property rights, data protection legislation, defamation laws, and statutes relating to theft, fraud, drug trafficking, money laundering, and terrorism. Furthermore, the User agrees that their use of the Service will not involve threatening, fraudulent, abusive, harassing, defamatory, vulgar, obscene, profane, indecent, invasive, or otherwise objectionable or inappropriate conduct, as determined solely at Fizmaa’s discretion. The User also warrants that all information supplied to Fizmaa shall be complete, accurate, and true in all respects, and undertakes to promptly notify Fizmaa should any information change or become outdated. In using the Website, the App, and the Service, the User agrees to comply with all reasonable instructions provided by Fizmaa. The User further agrees not to obtain, or attempt to obtain, access to the Service through fraudulent, deceptive, or unauthorized means, including tampering with Fizmaa’s facilities or systems. The User shall not attempt to access, alter, or destroy software, programs, or data belonging to Fizmaa or any other User, nor shall they assist others in such actions. Additionally, the User must not use the Service in a manner that interferes with the enjoyment of the Service by others, and they may not permit unauthorized third parties to access the Service on their behalf.

10. Bugs, Viruses, and Potentially Damaging Programs (PDPs)

The User warrants that their use of the Service shall not result in the transmission of any viruses, malware, or potentially damaging programs (“PDPs”) to Fizmaa’s systems. Should the User become aware of any bugs, PDPs, or other technical errors affecting the Website, App, or Service, they must inform Fizmaa immediately. The User acknowledges that, despite Fizmaa taking reasonable precautions, it remains possible that PDPs may be transmitted from Fizmaa’s servers or third-party servers to the User’s equipment. Accordingly, the User accepts full responsibility for protecting their own equipment, software, and data from such risks and acknowledges that Fizmaa cannot guarantee that content downloaded from the Website or App will be entirely free of harmful code. While Fizmaa uses reasonable efforts to ensure the security of the Website, it makes no representation or warranty that the Website or the internet in general is secure. Fizmaa shall not be liable for any loss, damage, or disruption caused by PDPs, malware, or other technologically harmful material that may affect the User’s equipment, programs, or data as a result of using the Service or downloading content. The User further accepts that data transmitted electronically, whether via the internet, intranet, or private networks, may be intercepted or exploited unlawfully by third parties. Fizmaa disclaims all responsibility for the acts of such unauthorized third parties.

11. Use of Data and Data Protection

By providing data to Fizmaa and accepting these Terms, the User acknowledges that their personal information will be used in accordance with these Terms and Fizmaa’s Privacy Policy. All parties agree to comply with the requirements of applicable Data Protection Laws. This clause supplements, and does not replace, the obligations imposed under such legislation. When a User registers with Fizmaa to access the Service, they provide personal information through registration forms, and Fizmaa may collect further information as the User continues to interact with the Service. In such cases, Fizmaa acts as the Data Controller, and the processing of such data is carried out in line with Fizmaa’s Privacy Policy. Where a Promoter imports its own database or contact lists into the Service, that database remains the property of the Promoter, who acts as the Data Controller in respect of such data. Fizmaa, in this context, acts as a Data Processor and will comply with its obligations as set out in these Terms and the Privacy Policy. The Promoter warrants that it has obtained all necessary consents and provided all required notifications to data subjects, including the information required under Article 14 of the GDPR. Promoters further warrant that they have the authority to import such data and allow Fizmaa to process it lawfully. Personal data collected or imported into a Promoter’s account may be exported at any time by the Promoter. When Users follow Promoters on the Fizmaa platform, their data becomes part of Fizmaa’s database. In such cases, both Fizmaa and the relevant Promoter act as Data Controllers. Promoters are permitted to use User data for marketing and promotional purposes where Users have consented to receive such information, including promoting similar events. Promoters may also export follower data from the Service for these purposes. Promoters agree to indemnify Fizmaa fully and effectively against all claims, liabilities, costs, and expenses arising from any breach of their obligations under this clause, including failures to comply with data protection requirements or obtain necessary consents.

11.6 General Use of Data

All Users agree that Personal Data shall be used strictly in accordance with these Terms and Fizmaa’s Privacy Policy. Users must comply with all reasonable instructions issued by Fizmaa, process data fairly and lawfully, and implement adequate security measures to safeguard data against unauthorized or unlawful processing, as well as accidental loss, destruction, or damage. As stated in the Privacy Policy, each User has the right to withdraw consent to the processing of their Personal Data at any time by notifying Fizmaa. Upon such withdrawal, Fizmaa will cease processing the applicable Personal Data and shall inform any other Users in possession of such data. Those Users, in turn, warrant that they will immediately cease processing the affected Personal Data. All Users agree to indemnify and keep indemnified Fizmaa from and against all claims, liabilities, costs, and expenses (including legal fees) that may arise directly or indirectly as a result of any breach of this clause. Where a User acts as a Data Processor, they undertake to process Personal Data only in accordance with the written instructions of the relevant Data Controller, unless required by law to do otherwise. Conversely, where a User acts as a Data Controller, they must ensure that all appropriate notices and consents are obtained to enable the lawful transfer of Personal Data to any Data Processor. If a Data Processor appoints a Sub-Processor, it must ensure that equivalent contractual obligations are imposed on that Sub-Processor, as required under the Data Protection Laws, including but not limited to the provisions of Article 28.3 of the GDPR. A Data Processor may not transfer Personal Data outside the European Economic Area (EEA) unless prior written consent has been obtained from the Data Controller, appropriate safeguards have been implemented, enforceable rights and remedies for Data Subjects are in place, and the Data Processor can ensure an adequate level of protection. Each Data Processor must implement technical and organizational measures designed to protect Personal Data against unauthorized or unlawful processing and against accidental loss, destruction, or damage. Such measures must also enable the Data Controller to comply with obligations owed to Data Subjects, including the right to rectification, erasure, restriction of processing, portability of data, and timely responses to subject access requests. The Data Processor shall also obtain confidentiality commitments from all individuals involved in processing Personal Data, including its employees, officers, agents, affiliates, contractors, and Sub-Processors. Furthermore, the Data Processor shall assist the Data Controller, as far as possible and taking into account the nature of the processing and the information available, in complying with obligations under the Data Protection Laws. These obligations include maintaining security, notifying supervisory authorities of personal data breaches, informing Data Subjects of breaches where required, conducting data protection impact assessments, and consulting supervisory authorities where such assessments reveal unmitigated high risks. Both parties undertake to retain records and information necessary to demonstrate compliance with Data Protection Laws. Data Processors must inform the relevant Data Controller immediately if they suspect that an instruction violates data protection requirements, and they must promptly notify the Data Controller in the event of any actual or suspected personal data breach.

12. Exclusion of Warranties / Limitation of Liability

When Users access the Service via the internet, Fizmaa will use reasonable efforts to ensure availability. However, Fizmaa does not warrant or guarantee continuous access, as neither Fizmaa nor any third party can control the decentralized global internet network. The Service is provided strictly on an “as is” basis without any express or implied warranties, including but not limited to warranties of satisfactory quality, merchantability, fitness for a particular purpose, title, or non-infringement of intellectual property rights. Fizmaa, its directors, employees, or representatives shall not be liable for any damages arising out of or in connection with the use of the Service. This limitation applies comprehensively to all types of damages, whether arising from negligence, breach of contract, statutory duty, or otherwise. Such damages include, but are not limited to, compensatory damages, direct losses, indirect or consequential losses, loss of data, loss of income or profit, and loss of or damage to property or third-party claims. The total liability of Fizmaa to a User, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (i) the amount paid or received through the Service by that User in the twelve months immediately preceding the claim, or (ii) where the User has not been registered for a full year, the pro-rata equivalent of what would have been paid over twelve months had the User continued at the same average rate. Fizmaa accepts no liability for unauthorized access, alteration, theft, or destruction of User emails, files, programs, or information by any means, even if caused by Fizmaa’s negligence. Additionally, Fizmaa does not guarantee that the Website, App, Service, or any Content will always be available or uninterrupted. Fizmaa may suspend, withdraw, or restrict availability for operational or business reasons, using reasonable efforts to provide advance notice. Fizmaa shall not be responsible for losses caused by misuse of User accounts, whether by the User or third parties. This includes but is not limited to incorrect withdrawals, provision of inaccurate Event or Offer details, or any other misuse of account functionality. These exclusions apply to the maximum extent permitted by law. However, Fizmaa does not exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded.

13. Indemnities

The User agrees to fully indemnify and hold harmless Fizmaa from any actions, claims, proceedings, liabilities, costs, and expenses (including legal fees) incurred directly or indirectly in connection with: (i) the User’s access to or use of the Website, App, or Service; (ii) any content, information, data, or material transmitted, produced, or downloaded by the User; (iii) any breach of third-party terms and conditions, including Promoter terms; and (iv) any breach of these Terms or of applicable law, codes, or regulations.

14. Links to Other Sites

The Website may contain links, including hypertext links, that lead Users outside Fizmaa’s Website. These links are provided solely for convenience and do not imply endorsement or approval by Fizmaa of the linked site, its operators, or its content. Fizmaa accepts no responsibility for the content of third-party websites.

15. Force Majeure

Fizmaa shall not be held liable for delays or failures in providing the Service caused by events beyond its reasonable control. Such force majeure events include but are not limited to war, riots, embargoes, terrorism, strikes, accidents, natural disasters, or government restrictions. In such cases, Fizmaa shall be entitled to a reasonable extension of time to restore the Service. If a force majeure event continues for more than eight (8) weeks, either party may terminate these Terms with fourteen (14) days’ written notice.

16. Termination

Either party may terminate these Terms at any time by giving notice to the other. Upon termination, all rights granted to the User under these Terms shall immediately cease. The User must cease all activities authorized under these Terms and promptly destroy or return, at Fizmaa’s option, all copies of materials or Content obtained in connection with the Service.

Any provision of these Terms that expressly or by implication is intended to survive termination shall continue in full effect.

17. Waiver

Failure by Fizmaa to enforce any provision of these Terms at any time shall not be deemed a waiver of its rights, nor shall it affect the validity or enforceability of these Terms, nor prejudice Fizmaa’s rights to take action later.

18. Assignment

The User may not assign or transfer their rights or obligations under these Terms, whether voluntarily, involuntarily, or by operation of law, without Fizmaa’s prior written consent. Fizmaa reserves the right to charge for costs incurred in considering such assignment requests. No assignment by the User shall relieve them of obligations under these Terms.

Fizmaa may assign or transfer these Terms, or the Service, at any time without restriction.

19. Notices

All notices under these Terms must be in writing and delivered in person, or sent by registered or airmail (prepaid and properly addressed) to Fizmaa at: Fizmaa, A 108 Nysa Business Center, Panchavati, Nashik - 422003 or to such other addresses as may be specified on the Website. Fizmaa may alternatively provide notice by displaying a message on the Website. Notices shall be deemed received within seven (7) days of being sent. All notices must be in English.

20. Invalidity

If any provision of these Terms is found to be illegal, invalid, or unenforceable in any jurisdiction, this shall not affect the validity or enforceability of the remaining provisions, either in that jurisdiction or in any other.

21. Agreement

These Terms constitute the entire agreement between the parties with respect to the Service, superseding all prior arrangements, understandings, or representations. No amendment or modification shall be effective unless in writing and signed by both parties, except as otherwise provided herein.

22. Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Both parties submit to the exclusive jurisdiction of the courts of India for all disputes, including non-contractual disputes or claims, arising under or in connection with these Terms.
